Terms of Service
Please read these Terms of Service carefully before using Rafirit Station's services or website. By engaging our services or accessing rafirit.com, you agree to be bound by these terms.
✅1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Rafirit Station, a digital agency registered in Dhaka, Bangladesh ("Rafirit Station," "we," "us," or "our").
By accessing our website at rafirit.com, requesting a quote, placing an order, engaging our services, or making any payment to Rafirit Station, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you do not agree to these Terms, you must not use our services or website. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
Age Requirement: You must be at least 18 years of age to enter into this agreement. By using our services, you confirm that you meet this requirement.
🛠️2. Our Services
Rafirit Station provides digital agency services including, but not limited to:
- Web & App Development — WordPress, Shopify, WooCommerce, React Native, Flutter
- UI/UX Design — Wireframes, high-fidelity designs, prototypes, design systems
- Graphic Design — Brand identity, logos, social media kits, print materials
- E-commerce Solutions — Online store setup, payment gateways, shipping integration
- Video Editing — Reels, YouTube, ad creatives, brand films
- Content Writing — SEO-optimised blog posts, web copy, product descriptions
- Landing Page Design — CRO-optimised pages, GoHighLevel and CRM integration
- Digital Marketing — Google Ads, Meta Ads, SEO, Social Media, Analytics, Email
- Conversion Rate Optimisation (CRO) — A/B testing, heatmaps, UX audits
The specific scope of services for each project is defined in a written proposal, statement of work, or invoice agreed upon by both parties prior to commencement. Any service not explicitly listed in the agreed scope is considered out of scope and subject to additional fees.
Service Availability: Rafirit Station reserves the right to modify, suspend, or discontinue any service at any time with reasonable notice. We do not guarantee that any specific service will be available indefinitely.
👤3. Client Account & Information
To receive services from Rafirit Station, you may be required to provide certain information about yourself and your business. You agree to:
- Provide accurate, current, and complete information as requested
- Promptly update any information that changes
- Provide any content, materials, access credentials, or assets required for project completion in a timely manner
- Ensure that any materials you provide do not infringe on the intellectual property rights of any third party
- Keep any login credentials, API keys, or access information shared with Rafirit Station confidential
You are solely responsible for all activities that occur under your account and for maintaining the security of your access credentials. Rafirit Station is not liable for any loss or damage arising from your failure to protect such information.
📋4. Orders, Projects & Scope of Work
4.1 Project Initiation
A project is formally initiated when: (a) a written proposal or statement of work has been agreed upon in writing (email confirmation is sufficient), and (b) the agreed deposit or full payment has been received by Rafirit Station.
4.2 Scope Changes
Any changes to the agreed project scope — including additional features, pages, campaigns, designs, or deliverables not originally specified — constitute a scope change. Scope changes must be agreed in writing and may result in additional fees and/or revised delivery timelines. Rafirit Station reserves the right to decline scope changes that fundamentally alter the nature of the agreed project.
4.3 Client Responsibilities
Project timelines are dependent on timely cooperation from the client. You agree to:
- Provide required content, assets, brand materials, and feedback within the timeframes specified
- Respond to queries and review requests within 3 business days unless otherwise agreed
- Provide a single point of contact with authority to approve deliverables
- Ensure that any third-party content provided (images, text, logos) is properly licensed for commercial use
4.4 Project Delays
Rafirit Station is not liable for project delays caused by the client's failure to provide required materials, feedback, or approvals. If a project is delayed by more than 30 days due to client inaction, Rafirit Station reserves the right to invoice for work completed to date and/or suspend the project. Reactivating a suspended project may incur a reactivation fee.
4.5 Delivery
Estimated delivery timelines are provided in good faith and are not guaranteed. Rafirit Station will communicate proactively about any delays. Final deliverables are provided upon receipt of full payment.
💳5. Payment Terms
5.1 Pricing
All prices are quoted in USD unless otherwise stated. Prices are valid for 30 days from the date of proposal. Rafirit Station reserves the right to adjust pricing before a project is formally initiated.
5.2 Payment Schedule

5.3 Payment Methods
We accept payment via: Stripe (international cards), PayPal, bank transfer (SWIFT/wire), bKash (Bangladesh), Nagad (Bangladesh), and Wise. Payment details are provided on each invoice.
5.4 Late Payments
Invoices are due within the period specified on the invoice (typically 7 days for project milestones and 3 days for retainer renewals). Overdue invoices may incur a late payment fee of 2% per month on the outstanding balance. Rafirit Station reserves the right to pause work on any project with overdue invoices.
5.5 Taxes
All prices are exclusive of applicable taxes. International clients are responsible for any taxes, duties, or VAT applicable in their jurisdiction. Bangladesh-based clients may be subject to applicable local VAT/tax as required by Bangladesh revenue law.
🔄6. Refund Policy
6.1 One-Time Projects
Deposits paid for one-time projects are non-refundable once work has commenced. If a project is cancelled by the client before work has started, a full refund of the deposit will be issued minus any bank transfer or payment processing fees. If a project is cancelled after work has commenced, Rafirit Station will invoice for the work completed to the cancellation date, and any overpayment will be refunded.
6.2 Monthly Retainers
Monthly retainer fees are non-refundable for the current billing period. You may cancel a retainer at any time with 30 days' written notice. Cancellation takes effect at the end of the notice period. No partial refunds are issued for unused days within a paid monthly period.
6.3 Ad Spend
Any advertising budget paid directly to Rafirit Station for onward payment to platforms (Google Ads, Meta Ads, etc.) is entirely non-refundable once paid to those platforms. Management fees are separate from ad spend and subject to the retainer refund policy above.
6.4 Dispute Process
If you believe a refund is warranted beyond the above policy, please contact us at billing@rafiritstation.com within 14 days of the issue arising. We will review each case individually and aim to respond within 5 business days.
Satisfaction Commitment: While our refund policy is as stated above, we are committed to client satisfaction. If you are unhappy with any deliverable, please communicate this — we will make reasonable efforts to address your concerns before any refund request is considered.
©️7. Intellectual Property Rights
7.1 Client Materials
You retain full ownership of all materials, content, data, and assets you provide to Rafirit Station ("Client Materials"). You grant Rafirit Station a non-exclusive, royalty-free licence to use Client Materials solely for the purpose of delivering the agreed services.
7.2 Deliverables
Upon receipt of full payment, Rafirit Station assigns to you full ownership of the final deliverables produced specifically for your project ("Deliverables"), including custom designs, developed code, written content, and edited videos.
7.3 Pre-Existing Materials
Rafirit Station retains all rights to pre-existing intellectual property, tools, frameworks, methodologies, proprietary code libraries, templates, and processes used in the creation of your Deliverables ("Background IP"). You receive a perpetual, non-exclusive licence to use Background IP as embedded in your Deliverables. You may not extract, resell, or sublicence Background IP independently.
7.4 Third-Party Assets
Deliverables may incorporate third-party licenced assets (stock images, royalty-free music, fonts, plugins). Licences for these assets are passed to you within the terms of the original licence. You are responsible for maintaining any ongoing licences (e.g., Envato, Epidemic Sound, Adobe Stock) after project completion.
7.5 Portfolio Use
You grant Rafirit Station the right to display your project as a portfolio example — including screenshots, metrics, and a general project description — unless you expressly request confidentiality in writing prior to project commencement.
7.6 Agency Attribution
We may request a "Designed by Rafirit Station" credit on websites and apps we develop. This is optional and may be removed upon your request at no charge.
🔒8. Confidentiality
Both parties agree to treat as confidential any proprietary information received from the other party that is designated as confidential or that a reasonable person would understand to be confidential ("Confidential Information").
Confidential Information includes business plans, financial data, technical specifications, customer lists, marketing strategies, and any materials marked as confidential. Each party agrees to:
- Use Confidential Information only for the purpose of fulfilling obligations under these Terms
- Not disclose Confidential Information to any third party without prior written consent
- Protect Confidential Information with the same degree of care used for its own similar information (no less than reasonable care)
- Promptly notify the other party of any actual or suspected unauthorised disclosure
These confidentiality obligations do not apply to information that is or becomes publicly available through no fault of the receiving party, or that is independently developed by the receiving party without reference to the Confidential Information.
If you require a formal Non-Disclosure Agreement (NDA) prior to sharing sensitive information, please request one before sharing. We are happy to sign mutual NDAs for appropriate projects.
🚫9. Acceptable Use
You agree not to use Rafirit Station's services to create, promote, or distribute content or projects that:
- Violate any applicable law or regulation in Bangladesh, your jurisdiction, or internationally
- Infringe the intellectual property, privacy, or other rights of any third party
- Promote illegal activities, violence, discrimination, hate speech, or harmful content
- Constitute spam, phishing, malware, or any form of cyber-attack
- Involve deceptive, misleading, or fraudulent advertising or business practices
- Target minors with inappropriate content
- Violate the advertising policies of Google, Meta, TikTok, or any other platform we manage on your behalf
- Circumvent platform Terms of Service in ways that risk account suspension or penalties for Rafirit Station
Rafirit Station reserves the right to refuse, suspend, or terminate any project or service where the client's intended use violates this acceptable use policy, without refund of fees paid.
🛡️10. Warranties & Representations
10.1 Rafirit Station Warranties
Rafirit Station warrants that: (a) we have the right and authority to enter into this agreement; (b) the services will be performed with reasonable care and skill by qualified professionals; and (c) deliverables will materially conform to the agreed specifications.
10.2 Client Warranties
You warrant that: (a) you have the right and authority to enter into this agreement; (b) any materials you provide are owned by you or you have the right to use them; (c) your use of our services will not violate any applicable law; and (d) you have all necessary permissions, licences, and approvals required for the project.
10.3 No Guarantee of Results
Digital marketing, SEO, and advertising services are subject to factors outside our control, including search engine algorithm changes, platform policy updates, market conditions, and competitive dynamics. Rafirit Station does not guarantee specific rankings, traffic volumes, conversion rates, revenue figures, follower counts, or return on ad spend (ROAS). Any performance estimates provided are good-faith projections based on experience, not contractual guarantees.
Important: Past results shown in case studies and marketing materials are illustrative and not a guarantee of future performance. Individual results vary based on industry, competition, budget, product quality, and numerous other factors beyond our control.
10.4 Disclaimer of Implied Warranties
Except as expressly stated above, Rafirit Station provides services on an "as is" basis and disclaims all other warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose, to the fullest extent permitted by applicable law.
⚖️11. Limitation of Liability
To the maximum extent permitted by applicable law, Rafirit Station's total cumulative liability to you for any claim arising under or in connection with these Terms — whether in contract, tort (including negligence), breach of statutory duty, or otherwise — shall not exceed the total fees paid by you to Rafirit Station in the three (3) months immediately preceding the claim.
11.1 Excluded Damages
In no event shall Rafirit Station be liable for any:
- Loss of profits, revenue, or anticipated savings
- Loss of business, contracts, or goodwill
- Loss of data or corruption of data
- Indirect, incidental, special, punitive, or consequential damages
- Damages arising from third-party platform actions (e.g., Google penalty, Meta account suspension)
- Losses caused by client's failure to provide accurate information or timely approvals
- Any loss exceeding the amounts paid as described above
11.2 Force Majeure
Rafirit Station is not liable for any delay or failure to perform resulting from causes outside our reasonable control, including natural disasters, pandemic, government actions, internet outages, power failures, or third-party service disruptions.
🔗12. Third-Party Tools & Platforms
Our services frequently involve third-party platforms, software, and tools including but not limited to: Google Ads, Google Analytics, Meta Ads, Meta Pixel, WordPress, Shopify, GoHighLevel, Klaviyo, Mailchimp, HubSpot, SEMrush, Ahrefs, Stripe, and others.
You acknowledge and agree that:
- Your use of third-party platforms is subject to their own terms of service and privacy policies
- Rafirit Station is not responsible for changes, outages, or policy updates by third-party platforms
- Ad account suspensions, algorithmic penalties, or platform bans resulting from third-party platform decisions are outside our control and do not entitle you to a refund of management fees
- Rafirit Station may require access to your third-party accounts to deliver services; you remain the account owner and are responsible for account security
- Monthly subscription costs for third-party tools (e.g., GoHighLevel, Shopify, SEMrush) are your responsibility unless explicitly included in our quoted fees
🔚13. Termination
13.1 Termination by Client
You may terminate a retainer agreement by providing 30 days' written notice to contact@rafiritstation.com. One-time projects may be cancelled at any time, subject to the refund policy in Section 6.
13.2 Termination by Rafirit Station
Rafirit Station may terminate this agreement or suspend services immediately upon written notice if:
- You materially breach these Terms and fail to remedy the breach within 7 days of written notice
- You fail to make payment within 14 days of the due date
- You engage in conduct that violates the Acceptable Use Policy (Section 9)
- Continuing the project would expose Rafirit Station to legal, reputational, or regulatory risk
13.3 Effect of Termination
Upon termination: (a) you remain liable for all fees for services rendered up to the termination date; (b) Rafirit Station will provide you with all completed deliverables for which full payment has been received; (c) each party will return or destroy the other's Confidential Information upon request; (d) Sections 7, 8, 10, 11, 15, and 16 survive termination.
✏️14. Revision Policy
The number of revision rounds included in each project type is specified in the relevant service proposal or package description. General revision guidelines are as follows:

A "revision round" means one consolidated set of feedback submitted at one time. Revisions submitted as multiple separate requests may be counted as multiple revision rounds. Revisions that change the original approved direction constitute a scope change and may be quoted separately.
🤝15. Dispute Resolution
15.1 Good Faith Negotiation
In the event of any dispute, claim, or controversy arising from or relating to these Terms or our services, the parties agree to first attempt to resolve the matter through good faith negotiation. Please contact us at legal@rafiritstation.com to initiate this process. We will respond within 5 business days.
15.2 Mediation
If good faith negotiation fails to resolve the dispute within 30 days, either party may request non-binding mediation before an agreed mediator. The costs of mediation shall be shared equally between the parties.
15.3 Arbitration
If mediation fails, any dispute shall be finally resolved by binding arbitration in Dhaka, Bangladesh, in accordance with the Arbitration Act, 2001 of Bangladesh. The arbitration shall be conducted in the English language. The decision of the arbitrator shall be final and binding on both parties.
15.4 Exceptions
Either party may seek urgent injunctive or other equitable relief from a court of competent jurisdiction where necessary to prevent irreparable harm, without waiving the right to arbitration for the underlying dispute.
🌍16. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh, without regard to its conflict of law provisions.
For international clients, while Bangladesh law governs the agreement, we acknowledge that certain consumer protection laws in your jurisdiction may also apply. Nothing in these Terms is intended to deprive you of rights that cannot be excluded under your local law.
The parties agree that the courts of Dhaka, Bangladesh shall have exclusive jurisdiction over any matter not subject to arbitration under Section 15, except where a client's local consumer protection laws require otherwise.
📝17. Changes to These Terms
Rafirit Station reserves the right to modify these Terms at any time. When we make material changes, we will:
- Update the "Last Updated" date at the top of this page and in the sidebar
- Post the updated Terms at rafirit.com/terms
- Send an email notification to active retainer clients at least 14 days before material changes take effect
Your continued use of our services after changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you may terminate your engagement with 30 days' notice as described in Section 13.
For one-time project clients, the Terms in effect at the time of project initiation (payment of deposit) apply to that project for its duration.
